Welcome to Ugonna Village. These Terms of Use (“Terms”) govern your access to and use of the Ugonna Village website at UgonnaVillage.com, the Ugonna Village mobile application (the “App”), and any related content, features, products, and services we provide (collectively, the “Services”).

By accessing or using the Services, creating an account, or purchasing or accessing content through Ugonna Village, you agree to these Terms. If you do not agree to these Terms, please do not use the Services.

1. Eligibility

You must be at least 16 years old to use the Services.

If you are under the age of majority where you live, you may use the Services only with the involvement and permission of a parent or legal guardian where required by applicable law.

• Stories, scripts, dialogue, and written materials

• Characters and original character designs

• Artwork, illustrations, graphics, and visual materials

• Audio, narration, music, and sound where owned or licensed by Ugonna Village

• Logos, branding, names, and other brand elements

• Website and App content

• Promotional and marketing materials

Your access to Ugonna Village content does not transfer ownership of that content or any associated intellectual property rights to you.

Subject to these Terms, Ugonna Village grants you a limited, personal, non-exclusive, non-transferable, revocable license to access and view content made available to you through the Services solely for your personal, non-commercial use.

4. Prohibited Use of Content

Except where expressly authorized by Ugonna Village or permitted by applicable law, you may not:

• Copy, reproduce, download, record, screen-record, capture, distribute, or republish Ugonna Village content

• Upload or redistribute episodes, videos, images, audio, or other Ugonna Village content on another website, application, social media platform, file-sharing service, or other medium

• Sell, license, sublicense, rent, or commercially exploit Ugonna Village content

• Modify, adapt, translate, or create unauthorized derivative works from Ugonna Village content

• Remove or alter copyright notices, watermarks, trademarks, credits, or other proprietary notices

• Circumvent or attempt to circumvent access restrictions, payment requirements, security measures, or technological protections

• Use Ugonna Village content to train, develop, test, or improve artificial intelligence or machine-learning systems without our prior written permission

• Use Ugonna Village content for commercial purposes without our prior written authorization

Nothing in these Terms is intended to restrict rights that cannot lawfully be restricted under applicable law.

5. Acceptable Use

You agree not to use the Services:

• For unlawful, fraudulent, abusive, or unauthorized purposes

• To interfere with or disrupt the operation or security of the Services

• To attempt to gain unauthorized access to accounts, systems, or data

6. Purchases and Paid Content

Certain Ugonna Village content or features may require payment.

Prices and applicable purchase terms will be displayed before you complete a transaction. Payments may be processed through third-party payment providers, including Wix Payments.

When you purchase access to digital content, you are purchasing a right to access that content according to the terms presented at the time of purchase. You are not purchasing ownership of the underlying content or intellectual property rights.

7. Subscriptions

If Ugonna Village offers subscription services, the price, billing frequency, renewal terms, and applicable cancellation information will be disclosed when you subscribe.

Where a subscription automatically renews, you authorize the applicable payment provider to charge the payment method associated with your account at the applicable renewal interval until the subscription is cancelled, subject to applicable law and the terms presented at checkout.

You may cancel a subscription in accordance with the cancellation options provided through your account or applicable payment platform. Cancellation generally prevents future renewal charges and does not necessarily result in a refund for a billing period that has already begun, except where required by applicable law.

8. Refunds

Because certain Ugonna Village products consist of access to digital entertainment or other digital content, purchases may be non-refundable once access has been provided, except where otherwise stated at the time of purchase or required by applicable law.

If you experience a technical problem that materially prevents you from accessing content you purchased, please contact info@ugonnavillage.com so that we can investigate the issue.

Nothing in these Terms limits any refund, cancellation, or consumer rights that cannot legally be waived.

Ugonna Village may occasionally offer promotions, contests, giveaways, discounts, complimentary access, or other special offers.

Ugonna Village does not control and is not responsible for the availability, content, policies, security, or practices of third-party services.

We do not guarantee that every piece of content or every feature will remain available indefinitely.

Where you have specifically purchased access to particular content, any modification or discontinuation of that access will remain subject to applicable consumer-protection laws and any specific terms presented at the time of purchase.

We may also temporarily restrict access to the Services for maintenance, security, technical, or operational reasons.

Ugonna Village does not guarantee that the Services will always be uninterrupted, error-free, secure, or available on every device or in every location.

Nothing in these Terms excludes warranties, guarantees, or other rights that cannot legally be excluded under applicable law.

15. Limitation of Liability

To the fullest extent permitted by applicable law, Ugonna Village and its affiliates, officers, directors, employees, agents, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to your access to or use of, or inability to access or use, the Services or content.

To the fullest extent permitted by applicable law, Ugonna Village will not be responsible for losses resulting from unauthorized use of your account where such unauthorized use results from your failure to maintain the confidentiality of your account credentials.

Nothing in these Terms excludes or limits liability where such liability cannot legally be excluded or limited.

 

16. Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Ugonna Village and its affiliates, officers, directors, employees, and agents from and against claims, liabilities, damages, losses, and reasonable costs and expenses arising from:

• Your material violation of these Terms

• Your unlawful or unauthorized use of the Services

• Your infringement or violation of another person's intellectual property or other legal rights

• Your unauthorized copying, distribution, exploitation, or commercial use of Ugonna Village content

This provision applies only to the extent permitted by applicable law.

These Terms and any dispute arising out of or relating to the Services will be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict-of-law principles.
